1. The service

VistaIQ is a management-accounts app for restaurants, operated by AO-V (the "operator"). It reads documents you upload, reconciles them against your till and bank, and shows the owner a weekly picture of the business. It is a management tool, not a tax, audit or statutory accounting service.

2. Accounts

The restaurant owner is the account holder. The owner approves who may use the app and what each person may see. Every person keeps their sign-in details private and is responsible for what is done under them. The owner may remove anyone at any time.

3. Your data

Everything you upload and every figure built from it belongs to the restaurant. The operator processes it only to provide the service, as set out in the privacy notice. On request the operator exports it in CSV and PDF and, after a notice period of 30 days, deletes it.

4. Accuracy

Figures are only as good as what reaches the app. Photographs are read by software and can be misread; every extracted invoice is shown for a person to approve, and every mismatch is listed as an exception for a person to resolve. The operator does not guarantee that the management accounts are complete or correct and is not liable for decisions taken on them. Statutory accounts, VAT returns and tax filings remain the responsibility of the restaurant and its accountant.

5. Acceptable use

Use the app only for the restaurant it was set up for. Do not upload data you have no right to upload, attempt to reach another restaurant's data, or interfere with the service.

6. Fees

Fees, if any, are agreed in writing with the owner. Pilot use is free unless agreed otherwise. Fees do not include the AI reading costs beyond the allowance stated in the agreement.

7. Availability and changes

The operator aims for the app to be available at all times but does not guarantee it. Figures are rebuilt overnight; a missed night is caught up the next one. Features may change; changes that reduce what the owner receives are announced 30 days ahead.

8. Ending the service

Either side may end the agreement with 30 days' notice. The operator may suspend access at once for misuse or non-payment. On ending, section 3 applies.

9. Liability

To the extent the law allows, the operator's total liability for any claim is limited to the fees paid in the twelve months before the claim, and the operator is not liable for indirect or consequential loss, including lost profit.

10. Law

These terms are governed by the law of the Republic of South Africa, and the Consumer Protection Act applies where it must.
